Terms of Service

1. Acceptance of Terms

By accessing or using the InnoVisions platform ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms constitute a legally binding agreement between you ("Customer") and InnoVisions ("Company", "we", "us").

2. Description of Service

InnoVisions is a cloud-based enterprise resource planning platform that provides integrated business management tools including customer relationship management, inventory management, job costing, financial accounting, HR and payroll, and related features. The Service is provided on a subscription basis.

3. Account Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised use.

4. Subscriptions and Billing

4.1 Fees: Subscription fees are billed in advance on a monthly or annual basis as selected during registration. Fees are non-refundable except as expressly stated in these terms.

4.2 Payment: Payments are processed securely through our third-party payment processors. You authorise us to charge your selected payment method on the agreed billing cycle.

4.3 Price Changes: We may adjust pricing with 30 days' notice. Price changes will not apply to current billing periods.

4.4 Late Payment: If payment is not received within 14 days of the due date, we may suspend access to the Service until payment is made.

5. Data Ownership and Use

5.1 Your Data: You retain all ownership of the business data you enter into the Service. We do not claim any intellectual property rights over your data.

5.2 Licence to Host: You grant us a limited licence to store, process, and transmit your data solely for the purpose of providing the Service to you.

5.3 Aggregated Data: We may use aggregated, anonymised data for platform improvement and analytics. This data cannot identify you or your business.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of South African law
  • Attempt to gain unauthorised access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or malicious code
  • Use the Service to store or transmit infringing, libellous, or otherwise unlawful material
  • Exceed the API rate limits or storage quotas specified in your plan

7. Service Level and Availability

We aim to keep the Service available and perform scheduled maintenance during low-usage periods with prior notice. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures, internet outages, or force majeure events.

8. Data Backup and Recovery

We back up the hosted Service regularly. In the event of data loss, we will restore from the most recent backup. We recommend that you maintain your own regular data exports as an additional precaution.

9. Termination

9.1 By You: You may cancel your subscription at any time. The Service will remain active until the end of your current billing period.

9.2 By Us: We may terminate or suspend your account for breach of these terms, illegal activity, or non-payment. We will provide reasonable notice where possible.

9.3 Data Export: Upon termination, you may request a full data export within 30 days. After 90 days, your data will be permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by law, InnoVisions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold InnoVisions harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any law or third-party rights.

12. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes shall be submitted to the jurisdiction of the courts of South Africa.

13. Changes to Terms

We may modify these terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the Service after changes constitutes acceptance of the modified terms.
